These Terms & Conditions govern your access to and use of Mayosana’s website, platform, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

Who we serve

Mayosana provides AI-assisted requirement capture and software delivery workflows for businesses. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Accounts and access

• Accuracy: you agree to provide accurate information and keep it updated.
• Security: you are responsible for safeguarding credentials and any activity under your account.
• Acceptable use: you will not misuse the Services, attempt unauthorized access, or interfere with security, availability or integrity.

Delivery, scope and artifacts

Our Services may generate documents and artifacts (e.g., BRD/FRD-style briefs, scope, timelines, ticket drafts). AI-generated outputs are intended to accelerate structured planning and delivery; they may require human review and may not be error-free.

Client content

You retain ownership of the content you submit to the Services (“Client Content”). You grant Mayosana a limited license to host, process and use Client Content solely to provide, secure and improve the Services for you, and to meet legal obligations.

Intellectual property

• Mayosana IP: the Services, software, templates and underlying systems are owned by Mayosana and/or its licensors.
• Project deliverables: ownership of deliverables is governed by the applicable project agreement / statement of work (SOW) executed between you and Mayosana.

Payments

Fees, billing cycles, milestone payment schedules, and taxes are specified in your order, invoice, or SOW. Late payments may result in paused delivery and/or restricted access until balances are cleared, subject to your agreement terms.

Third-party services

The Services may integrate with third-party services (e.g., analytics, email, payment processors, AI providers). Your use of third-party services may be subject to their terms.

Confidentiality

If we are subject to a separate NDA with you, that NDA governs confidentiality obligations. Otherwise, you agree not to disclose non-public information about Mayosana, and we agree not to disclose your non-public Client Content, except as necessary to provide the Services or as required by law.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. MAYOSANA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Limitation of liability

To the maximum extent permitted by law, Mayosana shall not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenues, data or goodwill. Mayosana’s aggregate liability for any claim relating to the Services will not exceed the amount paid by you to Mayosana for the Services in the three (3) months preceding the event giving rise to the claim.

Termination

We may suspend or terminate access if you violate these Terms or if required for security, legal compliance, or risk management. You may stop using the Services at any time. Project cancellations and refunds are addressed in our Refund & Cancellation policy and/or your SOW.

Changes

We may update these Terms from time to time. The updated Terms will be posted on this page with a revised “Last updated” date.
